Dale
Tauke has over 20 years of experience in many areas of corporate
and business law practice and joined Fox, Hefter, Swibel,
Levin & Carroll from Winston & Strawn, where he was
a partner. He concentrates in a broad range of private and
public company start-up, acquisition/disposition and financing
transactions, including securities offerings, tax exempt financings,
project finance, joint ventures and structured finance. He
works extensively in the field of securities law and has counseled
numerous companies as to securities offerings and compliance,
including the Sarbanes-Oxley Act.
Mr. Tauke also regularly counsels clients as to various complex
contracting matters, such as plant and facility engineering
and construction, products and services outsourcing and procurement,
technology licensing and domestic and foreign distribution,
sales representation and other product sale arrangements.
Mr. Tauke also
was previously assistant general counsel at Waste Management,
Inc., where he handled securities law filings, compliance
and transactions; corporate finance, including public and
private debt and equity offerings and bank financings; merger,
acquisition, and disposition transactions; joint venture structuring
and negotiation; board of directors and corporate governance
matters; and general corporate counseling.
Mr. Tauke was
an assistant professor of corporate and securities law at
St. Louis University School of Law, and served as a law clerk
in the Eastern District of Wisconsin during his first year
as an attorney.
Mr. Tauke received
a B.B.A., with highest distinction, from the University of
Iowa, and a J.D. from the University of Chicago Law School,
where he was a member of the Law Review. He is the author
of various publications on corporate law and a speaker at
seminars on various corporate law topics. He is a member of
the Business Law section of the American Bar Association and
the Chicago Bar Association.
