Joseph C. Grayson Mr. Grayson’s practice encompasses commercial transactions, banking, corporate and real estate law. He has served as outside general and special counsel to financial institutions with primary responsibility for negotiating, structuring and documenting a variety of secured and unsecured credit and investment transactions including asset-based, construction, mezzanine and real estate mortgage loans; intercreditor arrangements; loan restructuring; creditor’s rights; debt conversions and a variety of day-to-day operating issues. In addition to financial institutions, Mr. Grayson represents start-ups and mid-market companies, advising the boards of directors and senior management on acquisitions, sales, mergers, and restructures; financing and capital formation; contracts; litigation management; employment issues; and protection and use of intellectual property. Mr. Grayson’s real estate experience includes acquisition, disposition, use and financing of commercial, industrial and multi-family residential properties, the creation and use of air rights, leasehold financing, sale and leaseback arrangements and complex office and shopping center leases.
